1. The Agreement
These terms govern your use of OpsGuru, a cloud operations product offered by Maatara Consulting ("Maatara", "we", "us"), whether you use the hosted service (SaaS) or run the software in your own environment (on-prem). By creating an account, installing the software or using the service, you agree to these terms on behalf of the organisation you represent ("Customer", "you"). If you do not have authority to bind that organisation, do not use OpsGuru.
If you sign an order form or a separate agreement with us, that document takes precedence where it conflicts with these terms. Contracting entity: Maatara Consulting, 5332 Vista Point Court, Concord, CA 94521.
2. The Service
OpsGuru brings asset discovery, security, cost, performance, AI spend, incident and data quality work into one workspace through modules, cloud connectors and agents. The modules available to you depend on your plan. We improve OpsGuru over time and may add, change or retire features; we will not make a change that materially reduces the core functionality of a paid plan during your current subscription term.
3. Accounts
- You must give accurate account information and keep it up to date. Users must be at least 18.
- You are responsible for your users, their sign-in credentials and everything done under your account. Use single sign-on and the roles in Users and Groups to control who can change things and who can only look.
- Tell us promptly at info@maatara-consulting.com if you suspect unauthorised access to your account.
4. Acceptable Use
You agree not to:
- Scan, test or connect any system, network, cloud account or application that you do not own or are not authorised in writing to assess.
- Use OpsGuru to break the law, infringe anyone's rights, or store or send malicious code.
- Probe, overload or bypass the security of OpsGuru itself, or access it other than through the interfaces we provide.
- Copy, modify, reverse engineer or resell the service or software, except as the law expressly allows or we agree in writing.
- Use OpsGuru to build a competing product, or share access with people outside your organisation.
We may suspend access that breaks these rules or puts the service or other customers at risk. Where we can, we will tell you first and give you a chance to fix the issue.
5. Your Data
You own your data. Everything your organisation brings into OpsGuru, including cloud metadata, inventory, findings, scan results, reports and the credentials you store ("Customer Data"), remains yours. You give us a limited licence to host, process and display Customer Data only to provide, secure and support the service for you.
- You are responsible for having the rights and permissions needed to connect each account and tool, and for the accuracy of what you bring in.
- Connectors are designed to use read-only access, and credentials are held in a server-side vault. Features that can change a system act only within the policies and approvals you configure.
- We may use aggregated, de-identified data about how the service is used to operate and improve it. It will not identify you or your users.
- Our handling of personal data is described in our Privacy Policy.
6. Plans, Fees and Taxes
- Paid plans are billed in advance, monthly or annually, at the prices shown on our pricing page or in your order form.
- Taxes are additional. Prices do not include GST, VAT, sales tax or similar taxes, which are charged on top of the plan amount where they apply.
- Subscriptions renew for the same term unless cancelled before the renewal date. Fees are non-refundable except where the law requires otherwise or we agree in writing.
- We may change prices for future terms with at least 30 days' notice. Overdue amounts may lead to suspension after notice.
- Enterprise terms, custom limits and invoicing are agreed with our team at info@maatara-consulting.com.
7. Free Plan
The Free plan includes one Ops module of your choice, one cloud connector and up to 1 GB of metadata. It is for evaluation, comes without a service level or dedicated support, and is provided "as is". We may change Free plan limits, or suspend Free workspaces that are inactive or exceed their limits, after reasonable notice where practical. You can upgrade at any time to keep your data and raise limits.
8. On-Prem Software
If you run OpsGuru on-prem, we grant you a non-exclusive, non-transferable licence to install and use the software for your internal operations during your subscription, within the limits of your plan. You are responsible for the infrastructure it runs on, its backups and applying the updates we provide.
9. Third-Party Tools and Services
OpsGuru can bring in results from tools and services you already use, such as scanners, cloud providers and identity providers. Your use of them is governed by your own agreements and licences with their vendors. We are not responsible for third-party tools, and product names and logos belong to their owners.
10. Third-Party Trademarks
Names, logos and trademarks of third-party products and services that appear on our website or in OpsGuru, such as AWS, Microsoft Azure, Google Cloud, VMware, Hyper-V and the security and monitoring tools OpsGuru connects to, belong to their respective owners. We use them only to identify those products and the integrations OpsGuru offers. Their use does not mean that the owners are affiliated with, endorse or sponsor OpsGuru or Maatara Consulting, and we are not affiliated with them. OpsGuru connects to or works alongside these tools; we do not distribute, install or resell them, and your use of them remains under your own agreements with their vendors.
11. AI Features
AI assistants point at the evidence behind their answers, but output can be incomplete or wrong. Review it before you rely on it. A person should approve anything that changes a system or the spend.
12. Confidentiality
Each party will protect the other's confidential information with at least reasonable care, use it only for this agreement and share it only with people who need to know and are bound by similar duties. This does not apply to information that is public, already known, independently developed or lawfully received from someone else. Customer Data is your confidential information.
13. Intellectual Property and Feedback
Maatara and its licensors own OpsGuru, including the software, design, documentation and the OpsGuru brand. Apart from the rights granted in these terms, no rights are transferred. If you send us suggestions, we may use them without obligation to you.
14. Warranty Disclaimer
We will provide the service with reasonable skill and care. Otherwise, to the fullest extent the law allows, OpsGuru is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. OpsGuru does not replace your vulnerability scanners, your live metrics platform or your paging tool, does not certify compliance and cannot guarantee that every risk, cost or failure will be found.
15. Limitation of Liability
To the fullest extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, however caused. Each party's total liability arising from these terms is limited to the fees you paid for OpsGuru in the 12 months before the event giving rise to the claim (or 100 US dollars if you use only the Free plan).
These limits do not apply to your payment obligations, a breach of the acceptable use rules, or liability that cannot be limited by law.
16. Term and Termination
- These terms apply while you use OpsGuru. You can stop using the service or cancel at any time; paid plans end at the close of the current term.
- Either party may terminate for a material breach that is not fixed within 30 days of written notice.
- After termination you can export your Customer Data for 30 days, after which we delete it as described in the Privacy Policy, unless the law requires us to keep it.
- Sections that by their nature should survive (such as confidentiality, fees owed, disclaimers and limits of liability) survive termination.
17. Governing Law
These terms are governed by the laws of the State of California, without regard to its conflict of law rules, and disputes will be resolved in the state or federal courts located in Contra Costa County, California. Before starting formal proceedings, each party will try in good faith to resolve the dispute by talking to the other.
18. Changes and General Terms
We may update these terms. We will post the new version here with a new "Last updated" date and give customers notice of material changes before they apply. If any part of these terms is unenforceable, the rest stays in effect. Neither party may assign these terms without the other's consent, except in a merger or sale of the business. Delays caused by events beyond a party's reasonable control are excused.
